Terms and Conditions

These Terms and Conditions  (“T&Cs”) are effective by and between you and GoLearn Inc., (“KodeGo”, “we”, or “us”)and any of its successors, successors-in-interest, transferees, assignees, agents, designees or servicers.

It is understood that upon registration or applying to a KodeGo Program, you agree to be bound by the T&Cs set forth below. If you do not wish to be bound by these T&Cs, you may terminate your contractual relationship with KodeGo only in the manner described in these T&C’s.

KodeGo may at any time modify these T&Cs, and such modifications shall be effective immediately upon posting or publication of the modified T&Cs. If there are any material changes to the T&Cs, we will take reasonable steps to notify you. You agree to review these T&Cs periodically, and your continued use of the Services after the changes are published, with or without notification, constitutes your binding acceptable of the revised T&Cs.

The T&Cs include this document and the information made available on the Website on the specific page (“Product Page”) applicable to the KodeGo program in which you are a member. The Product Page and any amendments thereto are referred to collectively as the “Product Pages”. In the event of any inconsistency between this document and the Product Pages, or between different versions of the same Product Page, the Product Page prevails. 

 

  1. Definitions
    1. “Application” refers to the application submitted by the Participant for admission to a KodeGo Program.
    2. “Business Day” means Monday through Friday, except for regular or special holidays in the Philippines.
    3. “Product Page” and “Product Pages” mean the Product Page and any other subsequent amended Product Pages as may be issued.
    4. “Payment Term” means the period during which you pay KodeGo. Your Payment Term may be extended as described in these T&Cs .
    5. “KodeGo Program” or “Program” means any of the products offered by KodeGo.
    6. “Website” means the KodeGo website found at http://kodego.ph.
    7. “Self-paced” means a Program that can be learned at the customer’s convenience and according to their own schedule.
    8. “Online Guided” means Programs that include live instruction, either online or in-person.

  2. Eligibility
    1. Only those who can form a binding contract with KodeGo may register with KodeGo. Any use or access by anyone under the age of 18 is prohibited. For any products involving minors, account registration, and participation shall be accomplished by a legal guardian or a person who possesses the authority to enter into contracts on their behalf.
    2. Not all products and services are available to all individuals, and registration for an account and/or submission of any information or application materials does not automatically qualify you for a specific KodeGo Program, product or service. Your eligibility and acceptance is subject to review and final determination by and at the sole discretion of KodeGo and any of its partners.

  3. Your T&Cs Contract Terms
    1. Each Product Page sets forth your payment amount and Payment Term. It also outlines the details for payment to KodeGo. If the Product Page does not contain the payment details, these will be communicated to you separately. In the event of any inconsistency between or between these T&C’s and the Product Pages, or between the Product Pages, the Product Page controls.
    2. Your participation in any KodeGo Program may also be governed by an Agreement executed by and between yourself and KodeGo. In the event of any inconsistency between these T&Cs and the Agreement, the Agreement controls.

  4. Transfers
    1. All purchases of KodeGo Online Guided and Self-Paced programs are final and non-refundable. Once a program has been purchased, students are not permitted to transfer or switch enrollment between another program. In cases where significant changes are made to course content, KodeGo management may review the situation, but any decision regarding transfers remains at the sole discretion of management.

  5. Fees
    1. The fees outlined in the Product Page apply, subject to applicable law.
    2. There shall be no refund of any payment made or any fees paid unless explicitly agreed on by KodeGo in writing.

  6. Truthfulness of Application
    1. You represent that all information provided in connection with your Application is true and accurate and you have not provided any false, misleading, or deceptive statements or omissions of fact. Except as disclosed to us in your Application, you represent that: (i) you have never been convicted of a crime or any crime involving dishonesty or breach of trust under any law, rule, or regulation; (ii) you are not contemplating bankruptcy and you have not consulted with an attorney regarding bankruptcy in the past six months; (iii) you are at least 18 years of age, and (iv) you possess the authority to enter into a contract for the person who are creating an account for.

  7. Tax Reporting
    1. You agree and acknowledge that the tax consequences of these T&Cs are fully your responsibility and we have not provided you with any tax advice or assurance of specific consequences. Recognizing that all parties are best served by consistent, good faith tax reporting of the transaction in accordance with what the parties believe to be its economic substance, except as otherwise required by law, you agree to report the transaction, if required, as a financial contract and not as a loan or any other form of indebtedness.

  8. Electronic Delivery
    1. We may decide to deliver any documents or notices related to these T&Cs by electronic means. You agree to receive such documents or notices by electronic delivery and to participate through an online or electronic system established and maintained by us or a third party designated by us.

  9. Automatic Reminders 
    1. We may use text messaging systems and electronic mail to provide messages to you about our Programs, and other important information. You give us your permission to call or send a text message to any telephone number you provide us now or in the future. You also give us permission to communicate such information to you via electronic mail, text messages or phone call. You agree that we will not be liable to you for any such calls or electronic communications, even if the information is communicated to an unintended recipient.

  10. Consent to Information Verification and Sharing
    1. You also agree and consent to the collection, processing, and use of the personal data provided to us through your Application for purposes of these T&Cs. You understand that the collection, processing, and use of your data are also in accordance with our Privacy Policy found at https://917ventures.com/privacy. You also agree and consent to the sharing of your personal data with third parties, in accordance with our Privacy Policy, which we will do using reasonable data security procedures. 
    2. In the event that you have a contract with KodeGo, you authorize us to verify the information that you provide to us and gather additional information that may help us assess and understand your performance under these T&Cs. You agree and consent to our sharing of your information, particularly in accordance with our Privacy Policy, which we will do using reasonable data security procedures.

  11. Indemnification
    1. You agree to indemnify, defend, and hold harmless KodeGo, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers of KodeGo from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these T&C’s by you. Notwithstanding the following, you hold KodeGo free and harmless from suit or action arising from improper use of data, unauthorized intrusion into the site, and unlawful exposure of data.

  12. Use of the Website
    1. Subject to these Terms and Conditions, specific eligibility requirements, and other terms, you are granted a limited, personal, non-exclusive, non-transferable, and revocable license to use the Service. You agree that you will create, access, and/or use accounts applicable to you and you will not share access to your account or share access information for your account with any third party.

      Using our Services does not give you ownership of or any intellectual property rights in our Services or the content you access.

      You understand that, except for information relating to its various initiatives and the KodeGo programs, KodeGo does not in any way operate, control, or endorse any information, products, or services on the Internet. Except for KodeGo’s identified information, products, or services, all other information, products, and services offered through the KodeGo website or on the Internet generally are offered by third parties that are not affiliated with KodeGo.

      You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Website for the reconstruction of any lost data. You therefore assume total responsibility and risk for your use of the Website and the Internet.

      You understand that the Internet contains unedited materials, some of which are sexually explicit or may be offensive to you. You further understand that KodeGo has no control over and accepts no responsibility whatsoever for such materials. You may access such materials at your own risk.

      KodeGo does not make any express or implied warranties, representations, or endorsements whatsoever (including without limitation warranties of title or non-infringement, or the implied warranties of merchantability or fitness for a particular purpose) with regard to the KodeGo Programs, Website, any merchandise, information, or service provided through the Website or on the Internet generally, and as such, KodeGo shall not be liable for any cost or damage arising either directly or indirectly from any such transaction. It is solely your responsibility to evaluate the accuracy, completeness, and usefulness of all opinions, advice, services, merchandise, and other information provided through the Website or on the Internet generally.

      KodeGo does not warrant that the Website will be uninterrupted or error-free or that defects in the Website will be corrected. The Website and any software made available on the Website are provided on an “as is, as available” basis.
    2. In no event shall KodeGo be liable for:
      1. any and all damages including but not limited to, direct, indirect, incidental, or consequential damages arising out of the participation in the KodeGo Programs, the use of or inability to use the Website or any information, or transactions provided on the Website or downloaded or hyper-linked from or to the Website even if KodeGo or its representatives have been advised of the possibility of such malfunction/breakdown of the Website; or
      2. any claim attributable to errors, omissions, or other inaccuracies in the Website and/or materials or information downloaded through or hyper-linked from the Website.

  13. Conduct
    1. As a condition of your use of the Service, you shall warrant to KodeGo that you will not use the Service for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

      Any unauthorized commercial use of the Service, or the resale of its services, is expressly prohibited.

      You agree to abide by all applicable laws and regulations in the use of the Service and are solely responsible for all acts or omissions that occur as you access the Service, including the content of your transmissions through the Service. By way of example, and not as a limitation, you agree not to:
      1. use the Service for illegal or unauthorized purposes, or to violate any law of the Republic of the Philippines or the laws of your applicable jurisdiction;
      2. use the Service in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited messages (commercial or otherwise);
      3. defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
      4. publish, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful material or information;
      5. harvest or otherwise collect information about others, including email addresses, without their consent;
      6. create a false identity for the purpose of misleading others as to the identity of the sender or the origin of a message;
      7. use, download, copy, or distribute (whether or not for a fee) to a person or entity that is not a member any directory of the Service members or other user or usage information or any portion thereof other than in the context of your use of the Service as permitted under this Agreement;
      8. transmit or upload any material that contains viruses, trojan horses, worms, time bombs, cancelbots or interfere with or disrupt networks connected to the Service or violate the regulations, policies, or procedures of such networks;
      9. reverse engineer, disassemble, decompile, or translate any software or any other components of the Service;
      10. attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service, through password mining or any other means;
      11. violate any applicable laws or regulations including, without limitation, laws regarding the transmission of technical data or software through the Service; and/or
      12. use the Service in any manner that exceeds the scope granted herein.

  14. Miscellaneous
      1. Amendments and Waivers
        1. We may amend these T&Cs from time to time. We may also amend the terms of the Program by providing you with 3 Business Days advance written notice of any significant changes, and such notice shall be sent to the address in our records or to your provided email address. However, if an amendment is necessary to comply with changes in applicable law, we may amend these T&Cs without providing you with advance notice. Following such notice, unless you validly terminate your participation in the relevant KodeGo Program, the updated version of the T&C’s, Product Page, and/or Product Pages are effective and binding. The updated version of the T&C’s, Product Page and/or Product Pages supersedes all prior versions unless provided otherwise. No delay or failure to require the performance of any provision of these T&Cs shall constitute a waiver of that provision as to that or any other instance.

  15. Governing Law
    1. The validity, interpretation, construction, and performance of these T&Cs, and all acts and transactions pursuant hereto and the rights and obligations of the parties hereto and thereto shall be governed, construed, and interpreted in accordance with the laws of the Republic of the Philippines.

  16. Entire T&Cs and Conflict
    1. These T&Cs set forth the entire agreement and understanding of the parties relating to the subject matter herein and supersedes all prior or contemporaneous discussions, understandings, and agreements, whether oral or written, between you and us relating to the subject matter hereof. In case of conflict between these T&Cs and the Product Page or Product Pages, the terms set out in the Product Page or Product Pages shall prevail.

  17. Successors and Assigns
    1. Except as otherwise provided in these T&Cs, and the rights and obligations of the parties hereunder, will be binding upon and inure to the benefit of their respective successors, assigns, heirs, executors, administrators, and legal representatives. We may sell, assign or otherwise transfer any of our rights, economic benefits, or obligations under these T&Cs. You may not assign, whether voluntarily or by operation of law, any of your rights, economic benefits, or obligations under these T&Cs, except with our prior written consent.

  18. Notices
    1. Any notice or communication given or made shall be delivered by hand, fax, email, courier, or sent by registered mail to the address set out below, and such notice shall be deemed sufficient when sent by email or after being sent by courier. Notices to you shall be sent to the email or physical mail addresses set forth in your Application, or as subsequently modified by written notice to us.
    2. Notices to KodeGo shall be sent to the address below:

  19. Severability
    1. If one or more provisions of these T&Cs are held to be unenforceable under applicable law, the parties agree to renegotiate such provisions in good faith. In the event that the parties cannot reach a mutually agreeable and enforceable replacement for such provision, then (i) such provision shall be excluded from these T&Cs, (ii) the balance of the T&Cs shall be interpreted as if such provision were so excluded and (iii) the balance of the T&Cs shall be enforceable in accordance with its terms.

  20. Independent Decision to Enter into T&Cs
    1. You agree that agreeing to these T&Cs is an arms-length transaction. You agree that we are not an agent or fiduciary or advisor in your favor in connection with the execution of these T&Cs. You agree that we have not provided any legal, accounting, investment, regulatory, or tax advice with respect to these T&Cs, or with respect to your participation in the KodeGo Program.

  21. Disputes and Venue
    1. Any dispute arising from the execution of or in connection with this Agreement shall be brought before the proper courts of Taguig City, Metro Manila to the exclusion of all other courts, irrespective of the Philippines’ and other countries’ choice of law principles.
